  1. Introduction

This document sets out the Terms and Conditions and Subscription Licence Agreement (“Agreement”) between Women’s Health Network (“WHN”, “we”, “us”, “our”) and the individual subscribing to the WHN Practice Vault™ (“you”, “the Subscriber”, “the Licensee”, “the Practitioner”).

By completing your purchase and ticking the acceptance boxes at checkout, you confirm that you have read, understood and agree to be legally bound by this Agreement in its entirety, including its provisions relating to recurring annual billing unless cancelled by you and to the white label licence granted to you over the Content.

Please read carefully

This Agreement governs your access to and use of the WHN Practice Vault™. Subscribing grants you a single-user, non-transferable annual licence that includes the right to white label and brand WHN Content for direct client-facing use within your own professional practice.

Your subscription renews automatically each year on the anniversary of your purchase. Access is granted instantly and the annual subscription fee is non-refundable. You may cancel your subscription at any time through your Kajabi account; cancellation takes effect at the end of your current paid year.  There are no refunds if you fail to cancel your subscription.

 

  1. Definitions

In this Agreement, the following terms have the following meanings:

“WHN” or “the Provider” — Women’s Health Network, the licensor and owner of the WHN Practice Vault™ and all associated Content.

“The Vault” — The WHN Practice Vault™, a licensed digital resource library hosted on Kajabi, comprising the document sets, templates, guides, indexes, presentations, and any associated materials made available to Licensees.

“Content” — All documents, templates, written material, presentations, guides, diagrams, images, videos, audio recordings, indexes, white label resources, and any other intellectual property contained within or supplied through the Vault.

“White Label Use” — The right granted to the Licensee to download Content in editable format, remove WHN branding (if present), apply the Licensee’s own branding (logo, business name, brand colours, contact details), and distribute the resulting branded materials directly to the Licensee’s own Clients in the course of the Licensee’s own professional practice. White Label Use does not transfer any ownership of, or copyright in, the underlying Content.

“Licensee”, “Subscriber” or “Practitioner” — The individual person who has subscribed to the Vault. The Licensee must be a women’s health practitioner or otherwise meet the eligibility criteria set by WHN. Practitioner is a collective name for therapist, coach, medic and other CAM or allied health professional.

“Client” — An individual receiving services directly from the Licensee in the Licensee’s own professional practice.

“Veronica” — The WHN AI practitioner assistant, drawing on Vault Content to support Licensees in their case work, professional reflection and continuing development. Veronica is delivered through OpenAI / ChatGPT infrastructure and is governed in part by OpenAI’s own privacy policy. See clause 9.

“Subscription Year” or “Licence Term” — The twelve (12) month period commencing on the date of purchase, and each subsequent twelve (12) month period that begins on the renewal date if the subscription has not been cancelled.

“Renewal Date” — The anniversary of the original date of purchase, on which the annual subscription fee is automatically charged unless the subscription has been cancelled in advance.

 

  1. Subscription and Licence Grant

Subject to your payment of the annual subscription fee and continued compliance with this Agreement, WHN grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Vault, and to make White Label Use of the Content, for the duration of your active subscription.

3.1 Scope of Licence

Your licence is:

  • Personal to you as the named Subscriber.
  • Strictly single-user. The licence may not be shared, assigned, sublicensed, transferred or used by any other person.
  • Restricted to direct client-facing use within your own professional practice as a women’s health practitioner.
  • Inclusive of the right of White Label Use as defined at clause 2 and detailed at clause 5.
  • Non-exclusive. WHN retains the right to grant identical licences to other practitioners.
  • Revocable in the event of any breach of this Agreement.

3.2 Annual Subscription and Auto-Renewal

The Vault is offered on an annual subscription basis. Your subscription begins on the date payment is received and access is granted, and continues for an initial twelve (12) month Subscription Year.

At the end of each Subscription Year, your subscription will automatically renew for a further twelve (12) months, and the annual subscription fee will be charged to the payment method on file. This will continue on each subsequent Renewal Date unless and until you cancel your subscription in accordance with clause 3.4.

 

Auto-Renewal — Important

By subscribing, you expressly authorise WHN to charge the applicable annual subscription fee to your payment method on each Renewal Date. Renewal will occur automatically without further action on your part. You will receive renewal reminder communications in advance of each Renewal Date so you have full opportunity to cancel before being charged.

 

3.3 Renewal Reminders

WHN will send renewal reminder emails to your registered email address ahead of each Renewal Date. It is the Subscriber’s responsibility to ensure that the email address on file is current and that reminder emails are not filtered or missed.

3.4 Cancellation by Subscriber

You may cancel your subscription at any time through your Kajabi account, with no questions asked. Cancellation takes effect at the end of your current paid Subscription Year. You will retain full access to the Vault until that date, after which your access will close automatically and no further payment will be taken.

Once cancellation has been processed, no further charges will be made to your payment method. You may resubscribe at any time, subject to the prices and terms in force at the date of resubscription.

3.5 Subscription Year End and Access Closure

Each Subscription Year ends at 23:59 (Irish time) on the day immediately preceding the Renewal Date. If your subscription has been cancelled, access to the Vault will close automatically at this time. If your subscription remains active, your access will continue uninterrupted into the new Subscription Year.

3.6 Access on Termination

Upon expiry, cancellation, or termination of your subscription, your access to the Vault will be removed. You shall have no continuing right to download new Content, to receive ongoing research updates, or to use Veronica.

Branded materials that you have lawfully downloaded and shared directly with your own Clients during an active Subscription Year, in accordance with this Agreement, may continue to be retained by those Clients. You shall not, however, distribute, reproduce or share any further copies of the Content after your subscription has ended.

 

  1. Payment, Instant Access and Refunds

 4.1 Payment

The annual subscription fee is payable in full at the point of purchase and again on each Renewal Date. Access to the Vault will be granted only once the initial payment has been successfully received and processed.

4.2 Instant Access

The Vault is a digital product delivered electronically. Access is granted instantly on receipt of the initial payment, and the Content is made immediately available to you in full.

4.3 Annual Fee and Value of the Licence

The annual subscription fee reflects ongoing access to the full white label resource library, continuous research updates as the evidence evolves across the female health life-cycle, and masterclass invitations throughout the Subscription Year. For most practitioners, the cost of the annual licence is covered by a single client.

4.4 No Refunds

 

Important — No Refund Policy

Because the Vault is a digital product delivered with instant access, all subscription payments — whether the initial payment or any subsequent renewal payment — are strictly non-refundable once processed and access has been granted or continued.

By subscribing, you expressly acknowledge and agree that you waive any statutory cooling-off or cancellation right to the extent permitted by law in respect of digital content supplied immediately upon payment.

 

No refunds, partial refunds, credits or transfers will be issued under any circumstances, including but not limited to: change of mind, lack of use, change of professional circumstances, dissatisfaction with the Content, or failure to cancel before a Renewal Date. It is the Subscriber’s sole responsibility to cancel in advance of any Renewal Date if they no longer wish to continue.

4.5 Failed Payments

If a renewal payment fails to process for any reason (for example, expired card, insufficient funds, or bank decline), Kajabi will automatically attempt to retake the payment in line with its standard retry schedule. If the renewal payment cannot be successfully collected, your access to the Vault may be suspended or terminated. It is the Subscriber’s responsibility to keep their payment details up to date.

 

  1. Permitted Use — White Label Licence

The WHN Practice Vault™ is a fully white label resource library. As a Subscriber in good standing, and for the duration of your active subscription, you may:

  • Access and download Content from the Vault for use in your own professional practice.
  • Edit Content in its provided editable format — including the addition of your business name, logo, brand colours and contact details — in order to brand the materials as your own client-facing resources.
  • Remove or replace any WHN branding, footers and identifying marks on Content where the express purpose is White Label Use as defined at clause 2.
  • Use Content directly with your own Clients in 1:1 or small group settings forming part of your own practice, whether in print, digital, or face-to-face delivery.
  • Print, distribute by email, or share via your own client portals any branded Content prepared in accordance with this clause, for the sole use of your own Clients.
  • Use the white label presentation decks for in-practice teaching, workshops and webinars delivered by you, in person or online, to your own Clients and to participants attending sessions delivered by you.
  • Reference Content in your own clinical reasoning, case notes and Client communications, on the understanding that the underlying intellectual property remains the property of WHN.

 

A note on White Label Use

White Label Use is a licensed right, not a transfer of ownership. The underlying copyright in the Content remains with WHN at all times. The right to brand Content as your own is granted to support your direct work with your own Clients, and ends when your subscription ends.

 

  1. Prohibited Use

The following are expressly prohibited and constitute a material breach of this Agreement. You must not, under any circumstances:

6.1 Sharing and Account Use

  • Share, transfer, sell, lend, gift, or otherwise make available your account login details to any other person.
  • Allow any other individual to access the Vault using your credentials, including colleagues, students, family members, employees, contractors or business partners.
  • Use the Vault from more than one person’s perspective; the licence is single-user only.

6.2 Distribution Beyond Your Own Clients

  • Copy, reproduce, redistribute, republish, upload, post, transmit or otherwise share any Content — whether in original form or branded under your own name — with any third party other than your own Clients in the course of your direct practice.
  • Make Content (branded or unbranded) publicly available, for example by posting it on a public website, social media account, downloadable resource hub, free or paid membership area, or any other forum where individuals other than your own direct Clients may access it.
  • Take screenshots, screen recordings or photographs of Vault material for the purpose of public distribution or sharing in private or professional groups.

6.3 Commercial Use and Resale

The right of White Label Use granted at clause 5 does not extend to any of the following, all of which are expressly prohibited:

  • Reselling, sublicensing, renting, leasing, or otherwise commercially exploiting the Content or any part of it as a standalone product.
  • Repackaging or rebranding Content as a competing resource library, membership site, training programme, course, certification, or downloadable product offered to other practitioners or to the public.
  • Using the Content as the basis for, or as a teaching resource within, training, mentoring, supervision, or continuing education delivered to other practitioners.
  • Holding out or implying authorship of the underlying clinical, educational or research work contained in the Content. White Label Use permits branding for client distribution; it does not permit a Licensee to claim authorship of the underlying material.

6.4 AI, Machine Learning and Data Extraction

  • Upload, input, copy or otherwise provide any Vault Content to any artificial intelligence system, large language model, machine learning tool, training dataset, or third-party AI assistant, save for the Licensee’s permitted use of Veronica in accordance with clause 9.
  • Attempt to extract, scrape, mirror, archive or systematically download the contents of the Vault or Veronica’s knowledge base.
  • Use Vault Content to train, fine-tune, evaluate, or develop any AI model or automated system.

6.5 Modification Beyond White Label Use

  • Alter the substantive clinical, educational or referenced content of any document in a manner that misrepresents the underlying material or its evidence base.
  • Translate Content into another language for redistribution, save for personal annotation or limited adaptation for individual Clients.
  • Create derivative training materials, courses, or paid products from the Content, beyond White Label Use with your own Clients as defined at clause 5.

 

Single-User Clause

The licence granted under this Agreement is strictly personal to the named Subscriber. The Vault, the Content, and Veronica may be accessed and used by you, and you alone. Account sharing of any kind — whether with colleagues, peers, family members, students, employees or business associates — constitutes a material breach of this Agreement and will result in immediate termination of access without refund.

  

  1. Intellectual Property

All Content within the Vault is the intellectual property of Women’s Health Network and is protected by copyright, trademark and other intellectual property laws.

The right of White Label Use granted under clause 5 is a limited licence to use, brand and distribute Content for direct client-facing use within the Licensee’s own professional practice. It does not transfer any ownership of, or copyright in, the underlying Content. Branding Content with the Licensee’s own name, logo or business identity does not constitute authorship of the underlying material and does not transfer any intellectual property rights from WHN to the Licensee.

Nothing in this Agreement transfers any ownership of intellectual property to you. You acquire no rights other than the limited licence to use the Content as expressly permitted by this Agreement for the duration of your active subscription.

WHN Practice Vault™, Women’s Health Network and all associated logos, marks, names and identifying features are trademarks of Women’s Health Network and may not be used by you without express written permission. For the avoidance of doubt, the right of White Label Use granted under clause 5 includes the right to remove any WHN branding from Content for client-facing use; it does not grant any right to use WHN’s trademarks in your own marketing, branding, website, social media or business communications.

 

  1. Professional Responsibility and Branded Content

The Vault is a professional resource library intended to support qualified, insured women’s health practitioners in their direct practice with Clients. It is not a substitute for professional training, qualification, supervision, indemnity insurance or independent clinical judgement.

As a Subscriber, you confirm and warrant that:

  • You hold appropriate qualifications, training and insurance for the work you carry out with Clients.
  • You will use the Content within the lawful and ethical scope of your own professional practice.
  • You take full responsibility for any clinical decisions, advice, recommendations or interventions made with your Clients.
  • You will not present yourself as a medical professional unless qualified as one, nor use the Content to provide medical diagnosis, treatment or prescription.

8.1 Responsibility for Branded Content

Where you exercise your right of White Label Use under clause 5, you accept full professional and legal responsibility for any Content that you brand under your own name and distribute to your own Clients. In particular:

  • You are responsible for satisfying yourself, at the point of distribution, that the branded materials are accurate, current, and appropriate for the Client to whom they are issued.
  • You acknowledge that the Vault is a living resource and that Content is updated as the evidence evolves. Once a document has been downloaded, branded and distributed, the version held by your Client will not auto-update; it is your responsibility to refresh the materials you use in practice as updates are released.
  • You will not misrepresent the source of the underlying clinical, educational or research material, nor claim authorship of the underlying work.
  • You take full responsibility for any communication, claim, recommendation or interpretation made by you in connection with branded materials issued to your Clients.

WHN accepts no responsibility for the manner in which you brand, adapt, apply or distribute the Content within your own practice, nor for any outcomes arising from your professional practice or from the use of branded materials issued by you.

 

  1. Veronica — AI Practitioner Assistant

Veronica is an AI practitioner assistant made available to Subscribers as part of the Vault. Veronica draws on Vault Content to support Licensees in case reflection, professional self-mapping and continuing development.

9.1 Single-User Access

Veronica is provided strictly for the personal use of the named Subscriber within an active subscription. Sharing access to Veronica with any other person constitutes a material breach of this Agreement under clause 6.1.

9.2 Underlying Infrastructure and Third-Party Privacy Policy

Veronica is delivered through OpenAI / ChatGPT infrastructure. As a result, your interactions with Veronica are governed both by this Agreement and WHN’s Privacy Policy, and by OpenAI’s own privacy policy and terms of use, which apply to any data processed through their systems. By using Veronica, you acknowledge that you have read and accept OpenAI’s privacy policy as it relates to your use of their services.

OpenAI’s current privacy policy is available at openai.com/policies/privacy-policy. WHN does not control, and accepts no responsibility for, the privacy practices, data handling or terms of any third-party AI infrastructure provider.

9.3 Client Confidentiality — Mandatory Safeguard

 

You must not input identifiable Client information into Veronica

You must not enter, upload, paste, dictate or otherwise input any information into Veronica that could identify a Client, whether directly or indirectly.

This includes, without limitation: full names, initials in combination with other identifying detail, dates of birth, contact details, addresses, employer or workplace, distinctive medical history, identifying clinical detail, photographs, screenshots of Client records, or any other information from which a Client could reasonably be identified.

Where you wish to discuss a case with Veronica, you must fully de-identify and anonymise the information before doing so. You take full responsibility for ensuring that any information you input into Veronica is anonymous and complies with your professional confidentiality obligations and applicable data protection law.

 

You acknowledge that any information you input into Veronica is processed by OpenAI in accordance with OpenAI’s own policies, and that WHN cannot retrieve, redact or recall information once it has been entered. Compliance with Client confidentiality and data protection law in your use of Veronica is your sole responsibility.

9.4 Nature of Veronica’s Output

Veronica is a support tool. Her outputs are not a substitute for clinical judgement, supervision, qualified professional advice or independent verification. You take full responsibility for any decisions made or actions taken on the basis of any information, suggestion or signposting provided by Veronica.

 

  1. Limitation of Liability

To the maximum extent permitted by law, WHN’s total aggregate liability to you under or in connection with this Agreement shall not exceed the subscription fee paid by you for the current Subscription Year.

WHN shall not be liable for any indirect, incidental, consequential, special or punitive damages, including but not limited to loss of profit, loss of business, loss of revenue, loss of reputation, loss of data, or loss of opportunity, arising from your use of or inability to access the Vault, the Content, or Veronica.

Without limiting the generality of the foregoing, WHN shall not be liable for: (a) any consequences arising from your White Label Use or distribution of branded Content to your own Clients; (b) any consequences arising from your use of Veronica, including any reliance placed on Veronica’s outputs or any data processed by OpenAI in connection with your use of Veronica; or (c) any acts, omissions, policies or changes in service of any third-party infrastructure provider, including but not limited to Kajabi and OpenAI.

Nothing in this Agreement shall exclude or limit liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded.

 

  1. Breach and Termination

11.1 Termination by WHN

WHN may suspend or terminate your subscription and access to the Vault, with immediate effect and without refund, in the event of any breach of this Agreement, including (without limitation) sharing of credentials, redistribution of Content beyond the scope of White Label Use, commercial exploitation of the Content, input of identifiable Client information into Veronica, or use of the Content in any prohibited manner.

11.2 Consequences of Breach

In the event of breach, WHN reserves the right to take any and all legal action available to it, including the recovery of damages, an account of profits, and injunctive relief. The Subscriber shall be liable for all reasonable costs incurred by WHN in enforcing its rights under this Agreement.

11.3 Termination by Subscriber

You may cancel your subscription at any time in accordance with clause 3.4. Cancellation takes effect at the end of your current paid Subscription Year. In line with clause 4.4, no refund will be issued in respect of unused portions of any paid Subscription Year.

 

  1. Changes to Content, Platform and Pricing

 

12.1 Content and Platform

WHN reserves the right to add to, amend, update, withdraw or replace any Content within the Vault at any time, in its sole discretion, in order to maintain accuracy, professional standards and the quality of the resource library.

WHN further reserves the right to change the platform on which the Vault is hosted, the means of access, and the technical arrangements for delivery of the Vault and Veronica, provided that such changes do not materially diminish the value of your subscription.

12.2 Pricing

WHN reserves the right to change the annual subscription fee for future Subscription Years. Any change to the renewal price will be communicated to active Subscribers in advance of the next Renewal Date, with sufficient notice to allow cancellation before the new price is charged. Continued subscription beyond the Renewal Date constitutes acceptance of the revised price.

 

  1. Data and Privacy

WHN processes personal data in accordance with the General Data Protection Regulation (GDPR), the Irish Data Protection Act 2018, and our Privacy Policy, available on our website at www.womenshealthnetwork.co.uk.

By subscribing, you consent to WHN processing your personal data for the purposes of administering your account, managing your subscription, processing recurring payments, communicating with you in connection with the Vault, and issuing renewal reminders.

Your use of Veronica is additionally governed by OpenAI’s privacy policy, as set out at clause 9.2. WHN’s Privacy Policy applies to data held by WHN; OpenAI’s privacy policy applies to data processed through OpenAI’s infrastructure when you interact with Veronica.

You are responsible for the lawful processing of any Client information in your own practice, including in any use you make of the Content with Clients and in your use of Veronica.

 

  1. Governing Law and Jurisdiction

This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of Ireland.

The parties irrevocably agree that the courts of Ireland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.

 

  1. Entire Agreement

This Agreement, together with the Privacy Policy and any other policies referenced at the point of purchase, constitutes the entire agreement between you and WHN in respect of the Vault and supersedes all prior agreements, representations and understandings, whether written or oral.

If any provision of this Agreement is found to be unlawful, void or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

 

  1. Acceptance

 

Acceptance at Checkout

By ticking the acceptance boxes at checkout and completing your subscription to the WHN Practice Vault™, you confirm that:

•  You have read and understood this Agreement in full.

•  You agree to be legally bound by all of its terms.

•  You are eligible to subscribe as a Practitioner.

•  You understand that the Vault is delivered with instant access and that all subscription payments are non-refundable.

•  You expressly authorise WHN to charge the annual subscription fee to your payment method on each Renewal Date until you cancel your subscription.

•  You understand that you may cancel your subscription at any time from your Kajabi account, with cancellation taking effect at the end of your current paid Subscription Year.

•  You agree that the licence is single-user, non-transferable, and inclusive of the right of White Label Use as defined and limited within this Agreement.

•  You acknowledge that your use of Veronica is governed in part by OpenAI’s privacy policy and that you will not input identifiable Client information into Veronica.

 A copy of these Terms and Conditions will be emailed to you on completion of your purchase for your records.
